Sean Cleary, MBA, co-founded BlackRock Metals in 2008 and has over 20 years of experience in financing mining projects, mergers and acquisitions, corporate financing and scaling up companies. He was Executive Chairman & Head of Corporate Development of Groupworks Financial Corp., (now People Corporation) (TSX-V: PEO), Senior Vice-President of Quest Capital (now Sprott Resource Corp.) and co-founder and Chief Financial Officer of Caratax Management Ltd., a Canadian mining fund. He also served as director of private and public companies. He holds a Masters of Business Administration and a Bachelor of History from the University of Western Ontario.

Jean Rainville, B. Eng. Mining, B.Comm., has over 35 years of experience in the mining industry and financial markets. One of the founding members and the first employee of the Company, he has held the position of President and Chief Executive Officer at BlackRock Metals since 2008. Jean Rainville has worked as an engineer, fund manager and corporate financing manager, and also served as Director of several private and public companies. He holds a Bachelor of Mining Engineering and Metallurgy as well as a Bachelor of Administration from McGill University.

Marc-André Lavoie, BA, M.Sc., M. Phil., has extensive experience in international financial markets and natural resources. He is currently Managing Director of Gestion Macber Inc, a private investment company. Previously, he has acted as CEO and Director of two publicly traded natural resources companies. Prior to that, Marc-André Lavoie worked for about 15 years as a capital markets banker, primarily with BNP Paribas in London and New York. He holds a Bachelor from St-Francis Xavier University in Nova Scotia, a Masters from the London School of Economics, and a Masters from Cambridge University in the U.K.

David Alan Caldwell, BSc Geology, BSc Geophysics (University of Minnesota Institute of Technology), Msc Geology and Geochemistry (New Mexico Institute of Mining and Technology), PGeol. Consultant and Corporate advisor and world expert in VTM deposits with over 28 years of experience in the development and extraction of mineral resources working. In 2008, he co-founded BlackRock Metals, where he now serves as Director and Advisor. He is a current Director and past President of the Geologic Society of Nevada, former Trustee of the American Exploration and Mining Association and has served as a Director for community development projects in his local community. Mr. Caldwell has participated in the management of exploration and feasibility-level geometallurgic evaluation and development of projects for Gold Fields Mining Company and Santa Fe Pacific Gold prior to stepping away from the major miners as a project generator to co-create and advise several public and privately traded companies. He has played key management roles in the start-up of several mining operations in North and South America including open pit gold and silver mines at Mineral Ridge (NV-USA), Magistral (Sinaloa, Mexico) and Los Lomas (Piura, Peru), and ultra high-grade underground molybdenite (a steel additive and high tech lubricant) at the Ashdown Mine (NV-USA). Mr. Caldwell has over 10 years of direct experience in the steel additives sector and has led BlackRock’s geologic team through feasibility of the project.

Nathalie Le Prohon, MBA, has over 20 years of experience in the Information Technology and mobility/telecommunications industries, having been President of Nokia Canada and Vice-President at IBM Canada. She has been serving on numerous Boards since 2007, and currently serves as Director of 5N Plus, Alithya, Casavant Frères and Make-A-Wish Québec. She holds a Bachelor of Business Administration from McGill University, and a Masters of Business Administration from Concordia University.

Edward Yu, BA, is President of Capital Market Global Limited and has over 30 years of experience in capital markets, iron ore trading, operating agreements and building mine production projects. He has a solid network of business relations in China and Hong Kong, where he currently lives. Edward Yu holds a Bachelor of Philosophy from the University of Manitoba, Canada.

Pierre Marc Johnson, BA, LL.L, MD, MSRC, PhD(hc), GOQ, is a former Premier of Quebec. Mr. Johnson is of Counsel for the Montreal law firm Lavery de Billy. He has served on numerous Boards of Directors. He is Chairman of the Foresight Committee and member of the Board of Directors of Institut Veolia Environnement (Paris). Mr. Johnson has taught law at McGill University and is the author of various books and articles on globalization and international environmental matters. He acts as a negotiator and mediator in national and international public and private issues. He is currently Chief Negotiator on behalf of the Government of Quebec for the Canada-European Union Comprehensive Economic and Trade Agreement. He was also the Negotiator for the Government of Quebec in the Canada-U.S. softwood lumber dispute between 2001 and 2008.

Robert P. Boisjoli, is corporate finance/operational professional (FCPA, FCA) with over 30 years of operational and advisory experience. Mr. Boisjoli is currently the Chief Executive Officer of Global SeaFarms Corporation, a company he cofounded. He is also managing director of Atwater Financial Group, a company specializing in mergers and acquisitions, and a partner at Robert Boisjoli & Associates S.E.C., a consulting firm specializing mainly in business valuations. Robert has been the founder of two life science companies where he has acted as Chief Financial Officer, Chief Operating Officer and Chief Executive Officer. Mr. Boisjoli sits on the boards of directors of various public companies where is he is also the audit committee chairman. He also acts as Chief Financial Officer for Adventure Gold Inc. (listed on the Toronto Stock Exchange). He was also an investment banker with various Canadian securities’ firms. Robert also is a Board Member of various not-for-profit organizations in the community and within the profession.

Michael James Allen, MSc.(Stirling University); BSc. Hon (Edinburgh University); MIMMM; Consultant geologist for BlackRock Metals since 2009 and has over 40 years of experience in the steel industry, mining and exploration in industrial minerals , base and precious metals in Canada, Europe, China and South East Asia. He has worked with the Capital Markets Group in Hong Kong since 1996 and been a member of BlackRock’s board of directors since 2010.

Nathalie Laurin has over 25 years of experience in administration and accounting. During her career, she has held a range of jobs that have gained her experience in the financial industry, project management and the natural resource sector. She has been self-employed since 2006 handling bookkeeping, audit file preparation, management of legal, regulatory and administrative matters.

Patrice Beaudry, Eng., MBA, PMP, has over 25 years of experience in project management, procurement and business development. Until just recently, he served as Vice-President, Projects at Consolidated Thompson Iron Mines Ltd. and Vice-President Projects-Procurement-Operations and International Development at Railpower Technologies. He also held the position of Senior Vice-President, Vice-President and Director of Alstom Transport, Invensys PLC, Walsh Automation and Rosemount Instruments Ltd. Patrice Beaudry holds an MBA and a Bachelor of Electrical Engineering from the Université de Montréal.

Jacqueline Leroux, Eng., has over 20 years of experience in the mining industry. Until just recently, she was Environmental Manager for Goldcorp’s Éléonore Project in Northern Quebec (James Bay Territory), where she was in charge of exploration and construction permits. Prior to that, she worked as Environment Coordinator at the Troilus mine and Metallurgist at Meston Resources. Jacqueline Leroux lives in Chibougamau and has excellent knowledge of Northern Quebec regulations. She received her Bachelor of Metallurgical Engineering from Université Laval, Quebec.

Key Management

Richard Saint-Jean is a mineral processing technician with more than 23 years of experience in mining. He was Concentrator Manager for the Troilus mine open-pit gold/copper mine at Chibougamau, where he has worked for the past 14 years. He was involved in the start-up of four concentrators (Meston Resources, Graphicor mine, Cambior and Troilus mine). He has worked closely with the First Nations, including the Cree communities, for over 15 years. Richard Saint-Jean lives in Chibougamau, where he is an active member of the Chamber of Commerce.

Mr. Dumont joined Blackrock Metals Inc. as Vice-President Finance in April 2017. Before joining Blackrock Metals, Mr. Dumont held the position of Vice-President of Finance for Stornoway Diamond Corporation, a Quebec based diamond producer. For 3 years, Mr. Dumont closely participated in the successful construction project of the Renard Mine. Prior to this, Mr. Dumont spent 6 years, 3 of which were in Paris, with La Mancha Resources, a subsidiary of the AREVA Group, with three operating gold mines in Africa and Australia. With more than 25 years of experience in financial reporting, control, and compliance in a variety of industries, from mining, international trading and shipping, Jean-Charles brings valuable expertise to the team. He holds a bachelor’s degree in Business Administration from HEC Montreal, and is a member of the “Ordre des comptables professionels agréés du Québec – CPA” since 1994.

Pierre Cossette LL.M is a lawyer and member of the Quebec Bar since 1981. He has 30 years of experience in legal counseling, project development and energy management in the Primary Metals Industry. Prior to joining BlackRock Metals Inc., he was Director, Energy, North America and Director, Strategic Agreements, Cameroon Projects at Rio Tinto Alcan. As such, he was responsible for the development and implementation of energy supply strategies, major contracts negotiations for Alcan smelters and power plants in Canada and Africa and project development and negotiations with First Nations. Previously, he held the position of Director of Alcan Primary Metal, Legal Department in charge of a team providing legal services to Alcan plants in Canada. Pierre holds a law degree (LL.L) from Université de Montréal and a Master in International Business Law from McGill University.

Dan Nir has held various corporate development and investment banking positions in Toronto and New York and has advised clients on numerous mergers & acquisitions and corporate finance transactions. Prior to joining BlackRock Metals, he worked in the investment banking groups of Jefferies & Company, CIBC World Markets and Wellington West Capital Markets where he was responsible for structuring, negotiating and executing mergers & acquisitions mandates as well as equity and debt capital markets transactions. Dan holds an Honours in Business Administration and an MBA from the Richard Ivey School of Business at the University of Western Ontario.

Michael Lam, CA, has acted as Consultant for BlackRock Metals since 2010. He was previously Managing Director at Deloitte in Toronto, Ontario. Michael Lam has over 20 years of experience in finance and accounting, primarily in financial reporting, regulatory reviews and investigations, securities transactions and continuous disclosure filings for Canadian and U.S. companies.

Advisory Board

Dr. Allard, Ph.D. discovered the Henderson gold/copper mine in the Chibougamau mining district in 1956. In 1966, he discovered the first major vanadium deposit in North America, now the location of the BlackRock project, on the south bank of the Lake Doré complex, 25 km from Chibougamau. Dr. Allard spent 29 seasons in the field mapping and training a large number of future geologists in the Chibougamau area. He has been a Professor of Geology at the University of Georgia since 1965. He has received many awards for his teaching and research, including the Duncan R. Derry Medal from the Geological Association of Canada, the A.O. Dufresne Award from the Canadian Institute of Mining, Metallurgy and Petroleum, the Grand Prix de Mérite Géoscientifique (Award of Geoscientific Merit) from the Association des Géologues et des Géophysiciens du Québec and the Jean-Descarreaux Award from the Association de l’exploration minière du Québec. Dr. Allard holds a Bachelor of Letters and a Bachelor of Sciences from the Université of Montréal, a Masters of Geology from Queen’s University and a Ph.D. in Geology from Johns Hopkins University.

Daniel Harris is a seasoned and highly experienced mining executive and director and has most recently held the role of interim CEO and Managing Director of ASX listed Atlas Iron, a mid-sized, independent Australian iron ore mining company with operations in the Northern Pilbara of Western Australia. Daniel remains a Non-Executive Director to the Atlas Iron Board.  Daniel has been involved in all aspects of the industry for over 37 years and held both COO and CEO positions in Atlantic Ltd. The company’s subsidiary, Midwest Vanadium, owned a +$500 million-dollar production plant and vanadium mine in Western Australia. As COO, Daniel was tasked with the start-up of the newly constructed vanadium plant and brought it into commercial operation, before moving to the CEO role.

Daniel is also the former Vice President of EVRAZ Plc, Vanadium assets responsible for their global vanadium business.  EVRAZ plc is a £4.2 billion publicly traded steel, mining and vanadium business with operations in the Russian Federation, Ukraine, Europe, USA, Canada and South Africa. EVRAZ consolidated vanadium business produced and marketed approximately one quarter of the world’s vanadium supply.

Daniel is also a Non-Executive Director of Perth based Australian Vanadium, and is the Chief Advisor to the Board of Directors of Queensland Energy Minerals, QEM, and also acts as a technical executive consultant to GSA Environmental in the UK, a process engineering company that is well credentialed in the vanadium and oil industries.

Gus Hiller, B.Sc. Metallurgical Engineer, President of Pinnacle Consulting since  2007. He has many years of demonstrated track record in operations management, corporate restructuring and consulting experience in iron ore and coal mines, pelletizing,  DRI and HBI plants, sinter and blast furnace operations and various EAF steel plants both greenfield and distressed. As part of his responsibilities at Pinnacle, he is CEO of Hamilton Specialty Bar, since 2008, a EAF and bar mill operation. Prior to Pinnacle, he was a metallurgical engineer or had senior operational management responsibilities at AK Steel, Phelps Dodge, Birmingham Steel and Nucor where his duties included mining exploration, project development, M&A, sales, general management and senior management positions. He holds a B.Sc. in Metallurgical Engineering from the University of Arizona.

Jean-Pierre Colin, DCS, LL.L. MBA, has over 30 years of experience in corporate financing in the mining industry and now acts as business strategy consultant for corporate boards of directors and shareholders. He has held senior management positions at Octagon Capital Corp, Desjardins Securities Inc., Deacon Capital Corp, Richardson Greenshields of Canada Ltd. and JP Colin Securities Inc. He is a member of the Quebec Bar and holds an MBA from the Ivey Business School, University of Western Ontario, a Civil Law Diploma from the University of Ottawa, and a Certificate in Comparative Law from the University of Manitoba.
